Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FacilisOps software, websites, and related services (the "Service"), operated by FacilisOps LLC ("FacilisOps," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1Agreement to terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other organization (for example, a hotel or property-management company), you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, you may not use the Service.
2The service
FacilisOps is a facilities and operations platform for hospitality businesses, providing tools that may include work-order management, compliance and inspection tracking, housekeeping coordination, guest-request handling, inventory, capital planning, and AI-assisted features. We may add, change, or remove features over time.
3Accounts & eligibility
- You must provide accurate, complete account information and keep it current.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You must promptly notify us of any unauthorized use of your account.
- You must be at least 18 years old and capable of forming a binding contract.
- Account administrators are responsible for managing their team members' access and roles.
4Subscriptions & payment
- The Service is provided on a subscription basis at the fees and billing cycle presented to you at sign-up or in a separate order form.
- Fees are billed in advance and, except where required by law, are non-refundable.
- Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
- We may change pricing with at least 30 days' notice; changes take effect on your next renewal.
- Late or failed payments may result in suspension or termination of access.
- You are responsible for any applicable taxes other than taxes on our net income.
5Customer data
"Customer Data" means data, including information about your properties, staff, and guests, that you or your users submit to the Service. As between you and us:
- You own your Customer Data. You grant us a limited license to host, process, and use it solely to provide and improve the Service and as described in our Privacy Policy.
- You are responsible for the accuracy and legality of Customer Data and for having the rights and consents needed to provide it to us, including any consents required to process guest information.
- We implement reasonable technical and organizational measures to protect Customer Data, but no system is perfectly secure.
- On termination, you may export your Customer Data within 30 days, after which we may delete it in the ordinary course.
6Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Upload malware, attempt to breach security, or interfere with the Service's operation;
- Reverse-engineer, copy, resell, or sublicense the Service except as permitted by law;
- Use the Service to store or transmit content that infringes others' rights or violates privacy laws;
- Exceed usage limits applicable to your plan, including AI usage limits.
7AI features
Certain features use artificial intelligence to generate suggestions, summaries, triage, and other outputs ("AI Output"). AI Output may be inaccurate or incomplete and is provided for assistance only. You are responsible for reviewing AI Output before relying on it, particularly for safety, compliance, and operational decisions. AI usage may be subject to limits based on your plan.
8Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by FacilisOps and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.
9Third-party services
The Service relies on third-party providers (for example, cloud hosting and AI model providers). Your use of the Service may be subject to those providers' terms, and we are not responsible for third-party services.
10Warranties & disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACILISOPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12Indemnification
You agree to indemnify and hold FacilisOps harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
13Term & termination
These Terms apply while you use the Service. You may cancel at any time as described in your account or order form. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm. Sections that by their nature should survive termination (including ownership, disclaimers, liability limits, and indemnity) will survive.
14Changes to terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-product). Your continued use of the Service after changes take effect constitutes acceptance.
15Governing law
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in New Mexico, and you consent to their jurisdiction.
